Terms of Service

These Terms of Service ("Terms") govern your use of Proximitii, a location-based social app operated by Proximitii ("we", "us", "our"). By creating an account or using the app, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Proximitii.

1. Who Can Use Proximitii

• You must be at least 13 years old (or 16 if you live in the European Economic Area) to use Proximitii.
• You must provide a valid phone number that belongs to you to create an account.
• You may not use Proximitii if you have previously been banned from the service.

2. Your Account

• You are responsible for activity that happens on your account. Keep your device secure — anyone with access to your phone and SMS codes can access your account.
• Provide accurate profile information. Do not impersonate another person or create an account for anyone other than yourself.
• One account per person. Do not create accounts by automated means.

3. How Location Sharing Works

Proximitii is built around mutual, consent-based location sharing between friends:

• Your location is only visible to friends you have accepted — never to strangers or the public.
• You control what each friend sees (per-friend sharing levels, Hidden Zones, visibility toggle, global pause), and you can change or revoke sharing at any time.
• Location data is approximate and may be delayed, inaccurate, or unavailable. Do not rely on Proximitii for emergencies, safety-critical decisions, or navigation.

4. Acceptable Use

Proximitii exists to bring friends closer together. You agree not to:

• Use the app to stalk, harass, threaten, or monitor anyone. Using location features to track a person without their knowledge and freely given consent is strictly prohibited and may be illegal.
• Coerce or pressure anyone into sharing their location with you.
• Post content that is illegal, hateful, sexually exploitative, or that infringes someone else's rights.
• Attempt to access other users' data, probe or disrupt our systems, reverse engineer the app, or circumvent security or rate limits.
• Use the service for commercial solicitation, spam, or data harvesting.

We may remove content and suspend or terminate accounts that violate these rules, with or without notice. If you encounter abusive behavior, use the in-app report and block tools or contact us at support@proximitii.app.

5. Your Content

• You own the content you create in Proximitii (photos, posts, notes, profile information).
• By posting content, you grant us a limited, non-exclusive, royalty-free license to host, store, and display that content to the people you shared it with, as needed to operate the service. This license ends when you delete the content or your account, except where content was shared with others (for example, media you added to a shared album) or where brief retention is required for backup integrity or legal compliance.
• You are responsible for the content you post and must have the rights to share it.

6. Privacy

Our Privacy Policy explains what data we collect (including location data), how we use it, and the controls you have — including deleting your location history or your entire account in the app at any time. We do not sell your data or use it for advertising.

7. The Service

• Proximitii is currently provided free of charge. We may introduce optional paid features in the future; nothing you already have will silently start charging you.
• We are always improving the app and may add, change, or remove features at any time.
• We may suspend or discontinue the service (in whole or in part) with reasonable notice where practical.

8. Termination

• By you: you can stop using Proximitii at any time and permanently delete your account and all associated data in-app via Profile → Data & Account → Delete Account.
• By us: we may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us or other users, or if required by law.
• Sections of these Terms that by their nature should survive termination (including Sections 9–11) survive.

9. Disclaimers

Proximitii is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, accurate, or error-free, that location data will be precise or timely, or that any content will be preserved without loss.

10. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising out of or relating to your use of Proximitii — including damages arising from interactions between users or reliance on location information. Our total liability for any claim relating to the service will not exceed the greater of the amount you paid us in the twelve months before the claim (currently $0) or fifty US dollars ($50). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the service, or your violation of these Terms or of another person's rights.

12. Governing Law

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Ohio, and you consent to their jurisdiction. Nothing in this section deprives you of protections you are entitled to under the mandatory consumer-protection laws of the place where you live.

13. Changes to These Terms

We may update these Terms from time to time. When we make significant changes, we will notify you through the app or by updating the effective date at the top of this page. Your continued use of Proximitii after changes are posted constitutes acceptance of the updated Terms.
